Note: a) The Company in accordance with the Resolution Plan approved by the Honble National Company Law Tribunal, Ahmedabad Bench vide its order dated May 27, 2020, had allotted 1,80,00,000 equity shares of the face value of Rs. 10/- each for cash consideration of Rs. 18 crore on a preferential basis to Finquest Financial Solutions Private Limited. b) The Company has received approvals from Stock Exchanges for Reclassification of erstwhile Promoters and Promoter Group of the Company under Regulations 31A of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, vide their letter/email communication dated March 13, 2023 and the same was intimated to stock exchanges on the same day. c) By operation of 2nd Proviso to sub-section (2) of Section 47 of the Companies Act, 2013, the holder of 27,00,000 - 7% Cumulative, Non-Convertible Redeemable Preference Shares of Rs. 100/- each (unlisted) became entitled to 2,70,00,000 Voting Rights on March 19, 2023. The same is reflected in column no. (IX) as Class Y. However, in the declaration sheet, the same has been mentioned as 'Equity Shares with differential voting Rights' as there is no other option.
